Victoria Centre Summer Campaign - Model Terms & Conditions
These Terms and Conditions ("Agreement") are entered into between Victoria Centre Nottingham ("Victoria Centre") and the undersigned model ("Model") for participation in the Victoria Centre Summer Campaign.
By agreeing to participate, the Model acknowledges and agrees to the following terms:
1. Campaign Participation: The Model agrees to participate in the Victoria Centre Summer Campaign, which will involve the capture of images and videos. The campaign activities are scheduled to take place on June 5th, 2025.
2. Grant of Rights:
○ The Model hereby grants to Victoria Centre, its affiliates, licensees, and assigns, the irrevocable, perpetual, worldwide, royalty-free right and license to use, reproduce, publish, display, distribute, and create derivative works from any and all photographs, videos, and other media ("Content") captured during the Model's participation in the Victoria Centre Summer Campaign.
○ This grant of rights includes, but is not limited to, the use of the Content for promotional, advertising, marketing, and public relations purposes across all media channels, whether now known or hereafter devised, including print, digital, social media, broadcast, and out-of-home advertising.
○ The Model specifically grants permission for the Content to be used as part of marketing materials for both Victoria Centre and the Splendour Festival.
3. Compensation: In consideration for the Model's participation and the grant of rights outlined in this Agreement, Victoria Centre agrees to provide a £250 gift card. This gift card will be split equally among all models participating from the same family. The family will have the choice of retailer for this gift card.
4. No Additional Compensation: The Model acknowledges that, apart from the gift card specified in Clause 3, no further compensation, royalties, or remuneration will be due for the use of the Content.
5. Model Representations: The Model represents and warrants that if they are under 18 years of age, they have obtained the necessary consent from a parent or legal guardian, who must also sign this Agreement. The Model (and their legal guardian, if applicable) further represents that they have the full right and authority to enter into this Agreement and grant the rights herein.
6. Release and Waiver: The Model releases Victoria Centre, its officers, directors, employees, agents, and representatives from any and all claims, demands, liabilities, actions, or causes of action arising out of or in connection with the use of the Content, including but not limited to claims for defamation, invasion of privacy, or right of publicity.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
8. Entire Agreement: This Agreement constitutes the entire agreement between the Model and Victoria Centre concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
By participating in the Victoria Centre Summer Campaign on June 5th, 2025, the Model confirms their understanding and acceptance of these Terms and Conditions.
